At Green Bird Systems, our global team is bound by a commitment to our fundamental values. We recognize that upholding ethical standards and ensuring compliance is a collective responsibility, where each individual is accountable to themselves and their colleagues. Our leadership actively supports employees in identifying potential issues, voicing concerns, and engaging in open, honest communication.
The Global Compliance team at Green Bird Systems is dedicated to maintaining integrity in every region where we operate, fostering a culture that prioritizes compliance and ethical business practices. The Chief Compliance Officer works closely with the Board of Directors, senior leaders, employees, and external partners to strengthen this culture throughout the company.
Every year, our employees reaffirm their commitment to carrying out their responsibilities with integrity, adhering to our Code of Conduct
Raising Ethical Concerns and Whistleblowing
Green Bird Systems encourages employees to swiftly report any concerns regarding safety, quality, legal issues, or company policies. We are committed to fostering an environment where employees feel secure in seeking advice, raising concerns, and suggesting improvements. To facilitate this, we offer several confidential reporting options, including managers, toll-free numbers, and online portals.
Our local Site Compliance and Ethics Officers, along with Ethics Ambassadors, are also available to provide support, whether in person or online, for those needing guidance or wishing to report an issue. We have a strict policy against retaliation, ensuring that employees who voice concerns are protected, with any retaliatory actions leading to disciplinary measures, up to and including termination.
Commitment to Compliance
Green Bird Systems is committed to following global laws, regulations, and our internal policies and procedures, including laws related to combating trafficking persons. We integrate compliance oversight and accountability at every level of the organization to ensure robust risk management strategies and controls.
We continually evaluate the effectiveness of our internal compliance measures through policies, training, data analysis, and validation processes. Managers and executives are responsible for ensuring compliance within their areas, and all employees, including leadership, participate in annual training on compliance risks relevant to their roles.
Through the Compliance Risk Management (CRM) program, senior leaders are tasked with identifying, assessing, and managing compliance initiatives. The Compliance Risk Management Board (CRMB), led by the Chief Compliance Officer and Controller, oversees company-wide compliance, assesses significant risks, and develops strategies to mitigate them. The CRMB also escalates critical issues to the CEO and the Audit Committee of the Board of Directors when necessary.
The CRM program collaborates with Corporate Audit to regularly validate the effectiveness of compliance controls.
Anti-Corruption and Integrity Program
At Green Bird Systems, our mission centers on creating and supporting products that make a worldwide impact. In pursuit of this goal, we are firmly committed to upholding the highest standards of integrity in all our business practices. We maintain a strict zero-tolerance policy towards corruption and bribery, and we are dedicated to nurturing a culture that emphasizes openness, trust, and accountability.
Green Bird Systems maintains a strict prohibition against any form of bribery or corruption. We are dedicated to competing based solely on the quality of our products and services. Integrity is a fundamental part of our corporate values, and we have established comprehensive anti-corruption policies that apply to all employees, board members, and stakeholders.
These policies include specific procedures to ensure adherence to the U.S. Foreign Corrupt Practices Act and other international anti-corruption regulations. We mandate annual ethics and compliance training for all employees and provide clear guidelines for reporting any concerns. We firmly believe that no business opportunity justifies compromising our ethical standards.
Our anti-corruption program covers critical risk areas and is supported by extensive controls that are routinely tested through self-assessments, corporate audits, and external evaluations. These assessments ensure that our controls remain effective and help identify opportunities for improvement. We provide confidential and anonymous reporting channels, with strict prohibitions against retaliation, ensuring that those who report concerns are protected, and any violators are subject to serious penalties.
Additionally, we educate our employees on their federally protected whistleblower rights, which shield them from retaliation when reporting potential misconduct by U.S. contractors or subcontractors.
Green Bird Systems is dedicated to competing globally with honesty, integrity, and full adherence to relevant laws and regulations. Our anti-corruption program is guided by comprehensive policies and procedures that embody our zero-tolerance stance on corruption. We collaborate closely with our partners to ensure that joint ventures align with these standards.
We regularly evaluate the risks associated with our program and share the findings with our executive council and board members. These evaluations enable us to continuously refine and enhance the effectiveness of our anti-corruption efforts.
Employees at Green Bird Systems are required to exercise careful judgment when offering or accepting business courtesies. All such gestures must be legal, appropriate, and should not create any perception of impropriety. Our company policies enforce strict management approval thresholds, ensuring that any courtesies extended are justifiable and not intended to secure improper business advantages.
Similarly, employees must adhere to stringent guidelines when deciding whether to accept a business courtesy, ensuring that no conflicts of interest or appearances of impropriety arise. Soliciting or accepting courtesies under questionable circumstances is strictly prohibited.
Green Bird Systems enforces policies ensuring that all hiring decisions are conducted fairly, ethically, and in accordance with applicable laws and regulations. Additional safeguards, including reviews by the Legal Department, are implemented when considering the hiring of current or former government officials or representatives from foreign entities.
Our financial management system is structured to ensure the effective use of company resources and to meet reporting requirements with integrity and accuracy. As part of our anti-corruption commitment, all employees are required to keep precise financial records and secure appropriate approvals for costs and expenses. Personal credit cards may only be used for business-related expenses in very limited situations, and the falsification of business records is strictly forbidden.
Green Bird Systems actively supports the communities where our employees reside and work by providing charitable grants, in-kind donations, sponsorships, and encouraging volunteerism. All company contributions are subject to a rigorous review and approval process to confirm they align with our internal procedures and ethical guidelines.
Green Bird Systems values the insights gained from engaging external consultants and professional service providers. To ensure these partnerships comply with relevant laws, we have implemented strict guidelines for establishing, maintaining, and renewing contracts with international consultants. Due diligence is carried out based on factors such as geographic location, ownership, and the nature of the work. This due diligence is periodically refreshed to ensure continued compliance.
All agreements with international consultants must adhere to anti-corruption laws and our ethical business standards. Expanding the scope of work or renewing a consultant’s contract requires multiple layers of executive approval and a review by the Legal Department.
When considering mergers, acquisitions, joint ventures, or equity investments, Green Bird Systems undertakes thorough due diligence. This detailed process scrutinizes the financial records, corporate documents, operations, and compliance history of potential partners to ensure they align with our strategic and operational objectives.
Green Bird Systems enforces stringent policies on political activities, both domestically and internationally. Our policies also strictly forbid employees from soliciting or accepting gifts from suppliers or engaging in any behavior that could create an appearance of impropriety. All employees are required to comply with anti-kickback laws and regulations.
Green Bird Systems participates in industrial participation agreements with international customers to satisfy country-specific requirements for economic contributions or technology transfers. These obligations are met through our local operations, vendor engagements, or other forms of support as mandated by the laws and regulations of the respective countries.
To effectively manage these commitments, Green Bird Systems has specialized teams dedicated to industrial participation activities, reinforced by training on anti-corruption, conflict of interest, and business courtesy rules.
